Welcome to The West Gate Partners Inc. These Terms and Conditions govern your use of our website and our consulting services. By accessing or using our website and services, you agree to be bound by these terms.

1. Services Offered
We provide consulting services in digital transformation, AI integration, product management, project management, and operational efficiency. The initial consultation call is offered free of charge. Subsequent services will be governed by a signed agreement that outlines project scope, deliverables, and fees.

2. Client Responsibilities
To ensure successful collaboration, clients are responsible for:

Providing accurate and timely information related to the project.
Adhering to mutually agreed project timelines and milestones.
Active participation and decision-making to move the project forward.
Failure to meet these responsibilities may result in project delays, and we cannot be held liable for any missed deadlines or outcomes due to lack of client engagement.

3. Intellectual Property
Client Ownership: Upon completion of the project and full payment, all deliverables, outcomes, and materials created during the consulting engagement will become the sole property of the client.
The West Gate Partners Ownership: Any processes, methodologies, templates, or project management frameworks used during the course of the project remain the intellectual property of The West Gate Partners and are not transferred to the client.
4. Limitation of Liability
While we are committed to delivering high-quality services, we are not liable for:

Any indirect, incidental, or consequential damages that may arise during or after the engagement.
Any delays or interruptions caused by third-party vendors or service providers outside our control.
Failure to achieve specific business outcomes due to factors beyond our influence, including client-side operational decisions.
5. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Ontario, Canada. Any disputes arising under these terms will be subject to the exclusive jurisdiction of the courts in Ontario.

6. Confidentiality
We are committed to protecting your confidential information. Both parties agree to treat all non-public information related to the project as confidential, unless otherwise agreed upon in writing. This includes business plans, processes, proprietary information, and any other sensitive material shared during the project.

7. Termination
Either party may terminate the consulting agreement at any time by providing written notice. If termination occurs, any work completed up until the termination date will be billed accordingly, and any outstanding payments must be made.

8. Changes to Terms
We reserve the right to update or modify these Terms and Conditions at any time. Any changes will be reflected on this page, and the “Last Updated” date will be revised accordingly. We encourage you to review these terms periodically.
